Committee mandates and membership

The Board of Directors has established committees to assist it in fulfilling its control and monitoring responsibilities. Monitoring and control of different risks are allocated across the committees, which make appropriate recommendations to the Board of Directors.

Governance and Human Resources Committee

Mandate

This Committee is authorized to exercise all of the Board’s powers, except those statutory powers that must be exercised exclusively by the Board and any powers expressly reserved for the Board.

  • Assume responsibility for CRCD’s overall risk management process
  • Ensure that all risks are addressed by the various committees
  • Assist the Board in proposing and reviewing CRCD’s governance structure and principles
  • Manage the annual review of Board and committee effectiveness
  • Interpret and apply the Purchase-by-Agreement policy and make recommendations to the Board in that regard
  • Hold quarterly discussions with the Manager concerning at-risk areas and the corrective measures taken

Audit and Risk Management Committee

Mandate

  • Assist the Board in its oversight and accountability roles with aspects relating to the quality, reliability and integrity of financial reporting and continuous disclosure
  • Ensures the existence and effectiveness of the manager’s internal control over financial reporting
  • Verify that the manager implements and maintains adequate compliance mechanisms relating to legal and statutory requirements that may have a material effect on financial reporting
  • Monitor the work, performance, independence, appointment and recommendation of the independent auditor
  • Control the operational risks the Committee is tasked with monitoring

Financial Asset Management Committee

Mandate

  • Coordinate and match the Company’s financial assets to optimize overall risk/return ratio
  • Monitor CRCD’s financial performance
  • Ensure compliance with laws and regulations relating to the financial assets

Portfolio Valuation Committee

Mandate

  • Provide oversight of operational risk related to non-compliance with the portfolio valuation methodology
  • Review all relevant information concerning valuation of the Company’s Investments impacting the Québec economy portfolio on a semi-annual basis to provide reasonable assurance that the valuation process complies with the regulations applicable to CRCD
